Terry Smack elected to the board of directors of Farmers and Merchants Bank

Huge congratulations to my friend Terry Smack for being elected to the board of directors of Farmers and Merchants Bank. She will do a great job. It is about time. 

This speaks well of Farmers and Merchants Bank as it is about time, that boards of directors start looking like the local community by adding women, and men and woman of color. Just saying.

If you are not aware of the epic accomplishments of Ms. Smack; she is the owner of Terry's Tag and Title Service, a tag and title agent for the State of Maryland. 

And she understands that as a responsible business owner, she has a social contract with the community. 

She gives back to the community and in spite of her phenomenal success, she is still fun, friendly, approachable, and has never forgotten her roots. 

And the greater community has recognized her efforts by naming her, and her business, in the business category, as one of the Community Foundation of Carroll County's 11th annual Philanthropists of the Year in October 2016.

Charles Osborne Fisher Sr., 95, a long standing Westminster attorney, bank director, past chair of the Health Services Cost Review Commission and last surviving co-founder of Carroll Hospital Center, died June 22 at his home after a brief illness.

In addition to his leadership in local, state and national legal circles, Fisher was also known as a distinguished member of the banking, medical and political community and was a member of St. John Catholic Church.

He was a member of the New Windsor State Bank board of directors for more than 60 years. Important Case Decided By The Court Of Appeals

The Court of Appeals of Maryland decided on December 6, 1923, the case of James R. Weer against the Woodbine National Bank, at Woodbine, Carroll County, in favor of the Woodbine Bank, and sustaining the judgment of the Circuit Court for Carroll County against James R. Weer.

Mr. Weer had a safe deposit box in the vault of the Woodbine Bank, which he rented to keep his securities in and yeggmen one night some time ago entered the Bank, and cut a way through the vault doors with an acetylene torch, broke open the safe deposit boxes, and stole the bonds of Mr. Weer and other renters.

Mr. Weer sued the Bank, alleging negligence because the Bank did not have a burglar alarm system, a watchman, insurance of the contents of its safety boxes, and sufficiently thick doors to the vault.

The Circuit Court for Carroll County held that there was no negligence, under all the circumstances, on the part of the Bank and its officials, and by direction of the Court the jury found for the Bank; and this position of the Carroll County Court has been affirmed by the Court of Appeals. The case is important because it determines a number of other claims depending on this suit.

John C. Schaeffer, age 82 of Westminster John C. Schaeffer, age 82 of Westminster, died Sunday October 31, 2010 at Gilchrist Hospice Care in Towson, MD. He was born September 21, 1928 in Silver Run, the son of the late William E. and Mary K. Bankert Schaeffer. He was the husband of Evelyn Armacost Schaeffer, his wife of 61 years.

He was a life long member of St. Mary’s United Church of Christ in Silver Run, Maryland. He served as superintendent and taught Sunday School for 30 years. In addition he served many times on the Church Consistory Board. John was a graduate of Westminster High School, Class of 1945 and Western Maryland College, Class of 1949.

Mr. Schaeffer had a 50 year career in banking. He began as a teller at the Union Mills Savings Bank, which later merged to become Westminster Bank and Trust Company.

As President in 1969, he was the youngest to hold that position at that time in the State of Maryland. It was during his tenure that the bank became affiliated with Mercantile Bankshares Corporation. He then served as chairman of the board; retired from active management in 1990 and remained on the board until 1999.

His civic activities included membership in the Kiwanis Club of Westminster, serving as president in 1964 and received the Hixon Award; Board member of the original Industrial Development Authority; Board member and treasurer of the Union Mills Homestead Foundation; Vice Chairman of the Carroll County Chapter of the American Red Cross; former member of the Community Foundation of Carroll County; and the Historical Society of Carroll County.

Surviving in addition to his wife are children Monte A. Schaeffer and wife Deborah Day Schaeffer of Westminster, J. Craig Schaeffer and wife Margie Holweck Schaeffer of Blue Ridge Summit, PA, Lou Ann Schaeffer of Warner Robins, Georgia; grandchildren Calvin L. Schaeffer, Samuel E. Schaeffer, Emily K. Thompson and John David Thompson. He was predeceased by a brother, William E. Schaeffer, Jr., daughter-in-law, Denise Murdock Schaeffer, and by a grandson, Keith A. Schaeffer.

A funeral service will be held at 11:00 AM, on Thursday, November 4, 2010 at St. Mary’s U.C.C. in Silver Run, MD with his pastor the Rev. Dr. Richard W. Scott officiating. Interment will follow in St. Mary’s Cemetery in Silver Run.

The family will receive friends on Wednesday from 2-4 and 7-9 PM at the Myers-Durboraw Funeral Home, 91 Willis St., Westminster and on Thursday from 10 AM until the time of service in the Vestry of the Church.

BB&T to Acquire Mason-Dixon Bancshares of Westminster, MD

WINSTON-SALEM, NC, Thursday, January 28, 1999

(NYSE: BBT) announced today that it will acquire Mason-Dixon Bancshares Inc. (OTC: MSDX) of Westminster, Md., in a $256.9 million stock transaction that will double BB&T's presence in Maryland.

Mason-Dixon shareholders will receive 1.30 shares of BB&T common stock for each share of Mason-Dixon Bancshares Inc. common stock. Based on BB&T's closing price of $38.44 on Jan. 26, the indicated value for Mason-Dixon would be $49.97 per share. The transaction, approved by the boards of directors of both companies, will be accounted for as a pooling of interests.

Mason-Dixon will increase BB&T's assets to about $2.4 billion in Maryland, where BB&T will rank eighth in market share. Mason-Dixon's branch network includes 23 banking offices, 12 consumer finance offices and three mortgage loan offices.

Its $1.1 billion franchise will extend BB&T's Maryland presence in the economically strong markets in central Maryland. Mason-Dixon Bancshares is the parent company of Carroll County Bank and Trust Company, Bank of Maryland and Rose Shanis Financial Services LLC.

"Mason-Dixon Bancshares is a customer-oriented and service-driven institution," said BB&T Chairman John Allison. "They will fit nicely into our community banking approach where nearly all customer decisions are made locally. We think this partnership pushes us toward our goal of creating the world standard revenue-driven sales organization."

The Mason-Dixon acquisition is BB&T's second in as many days. BB&T said Wednesday that it would acquire First Citizens Corporation of Newnan, Ga., in a $125.9 million transaction that gives BB&T its first entry into Georgia. First Citizens has 13 banking offices and one mortgage loan office in south metropolitan Atlanta.

Named the top "small business friendly" bank in the nation by the US Small Business Administration, BB&T expects to expand consumer, small business and commercial lending opportunities in central Maryland. Mason-Dixon customers will be introduced to a broad product line that includes insurance, mutual funds, annuities, leasing, trust, retail brokerage and investment banking.

Over the last five years, BB&T has produced the strongest growth rate in noninterest revenue among the country's 50 largest banks. Its noninterest income growth in 1998 was 28.5 percent. Yet, as it continues to grow, BB&T's 17-region community bank network ensures autonomy and local decision-making.

"I believe a merger with BB&T Corporation fulfills our deep-seated commitment to our most important constituents," said Thomas K. Ferguson, president and chief executive officer of Mason-Dixon Bancshares. "Our stockholders will receive a superior value for their Mason-Dixon shares and will become owners in a top-ranked and highly regarded financial services company.

Our employees will be associated with a company that places high value on community banking and operates with a culture and core values remarkably similar to our own.

"Our customers will benefit from a much broader array of products and services delivered by the same bankers they know and trust. And BB&T has a long history of supporting the communities in which it does business, as demonstrated by its commitment of economic support to Westminster."

BB&T will donate $2.25 million and one acre to the city of Westminster or other appropriate entity. Mason-Dixon had planned to build a new Carroll County Bank and Trust operations center on the site. The money will help facilitate redevelopment of the land.

Ferguson will be named executive vice president of civic and economic development for BB&T's Maryland regions. He also will serve on the bank's North Carolina board of directors. Westminster will become headquarters for BB&T's newest Maryland community bank region. Carroll County Bank Chief Executive Officer Michael Oster will be named the new region's president.

The merger, which is subject to the approval of Mason-Dixon Bancshares shareholders and banking regulators, is expected to be completed in the third quarter of 1999. Winston-Salem, NC-based BB&T Corporation, with $35 billion in assets, operates 534 banking offices in Maryland, Virginia, Washington, DC, and the Carolinas.
